| Exceleron Software, Inc. was founded by Bob Crenshaw in early 1999. Its early history cannot be separated from that of its former affiliate, Go-Comm Communications, Inc., a Dallas-based competitive local exchange carrier (CLEC) founded by Mr. Crenshaw in 1997. Go-Comm obtained authorization to sell telephone service in seven states as a reseller of BellSouth, SBC/ATT and Verizon's network services. It became profitable in less than a year by using internally developed software applications to achieve operational efficiencies and customer retention levels that exceeded industry norms. Other CLEC's recognized the advantages afforded Go-Comm by its software and approached Mr. Crenshaw with requests to license it. Recognizing another entrepreneurial opportunity, Mr. Crenshaw formed Exceleron for the express purpose of marketing and continuing the development of this integrated suite of software applications under the brand name "CommWorx". |
| This software application, although geared to both pre-paid and postpaid customers, found a niche in the pre-paid market and worked almost exclusively with prepaid providers beginning in 1998. Exceleron’s special focus on the prepaid market has permitted it to gain an in-depth understanding of the unique challenges associated with this group of consumers. This knowledge gained from its telecommunication customers has been transferred to its pre-paid platform designed specifically for electric service providers. Exceleron’s focus is now on electric service providers as opposed to telecom companies and Exceleron continues to see the many benefits offered to electric service providers through its Prepaid Account Management System. |

| Bob Crenshaw, President, CEO and Director |
| Bob Crenshaw has founded and operated three technology solutions businesses: Exceleron Software, Inc., a hosted applications service provider; Go-Comm, Inc., a CLEC reseller of telephone and Internet services; and, TARA Voice Systems, a developer and distributor of Interactive Voice Response (IVR) systems for banks, telecommunications companies, telemarketers and insurance firms. In 2002, to eliminate any appearance of a conflict of interest with Exceleron's customer base and to focus his energies more fully on Exceleron's growth, Mr. Crenshaw and his partners merged Go-Comm into Airband Communications, Inc., a Dallas-based operator of broadband wired and fixed wireless IP (Internet Protocol) networks in multiple large metro markets in the US. Mr. Crenshaw's background also includes a successful career in real estate with Mississippi Purchase Corporation and Henry S. Miller Co. He holds a BSBA degree from the University of Mississippi. |

Jeff has more than 25 years of experience in the Telecom, Wireless, and Software industries. He has held executive management positions with AT&T, Lucent Technologies, Go-Comm and airBand Communications. His areas of expertise include executive positioning and selling, negotiating large contracts and commitments to closure, and developing creative offers.
Jeff holds an MBA in Marketing from Rutgers
University, where he graduated Magna
Cum Laude and was inducted into Beta
Gamma Sigma Honorary Society. He
also holds a Bachelor of Science degree in Marketing from Rider University.
Jeff has also completed the University of Michigan’s Global Management
Program and the Executive Leadership Program at the Center for Creative
Leadership located in San Diego, California.

| As the CTO for Exceleron, and Go-Comm prior to its sale, Mr. Hutson has been responsible for the design, development and management of the suite of software applications that forms the nucleus of Exceleron's product offerings. Previously, Mr. Hutson served as CTO for TARA Voice Systems, where he designed, developed Interactive Voice Response (IVR) applications for banks, insurance and telecommunications companies. From 1985-1990, Mr. Hutson served as senior logistics project engineer for Bell Helicopter-Textron, where he designed and implemented that company's first local area network. |
